Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and FJS Construction LLC, doing business as FJS Build, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our services.

Services Description

FJS Build provides professional computer systems design and related services, including but not limited to:

• Computer integrated systems design and implementation
• Technical consulting services
• Cloud migration and infrastructure solutions
• Network security implementation
• System integration and automation
• Data analytics and business intelligence solutions

The specific scope, deliverables, and terms of each project will be defined in separate service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Account Responsibilities

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Prohibited Uses

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. Prohibited activities include but are not limited to:

• Violating any applicable laws or regulations
• Infringing on intellectual property rights
• Transmitting malicious code or harmful materials
• Attempting to gain unauthorized access to our systems
• Interfering with other users' access to our services
• Using our services for fraudulent purposes

Intellectual Property Rights

Our Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and designs, are owned by FJS Construction LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Property

You retain all rights to any content, data, or materials you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of providing our services to you.

Work Product

Unless otherwise specified in a separate agreement, all work product created by FJS Build in the course of providing services will be owned by the client upon full payment, subject to our right to retain copies for our records and to use general knowledge and skills acquired.

Payment Terms

Payment terms for services will be specified in individual service agreements or statements of work. Generally:

• Invoices are due within 30 days of the invoice date unless otherwise specified
• Late payments may be subject to interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in writing

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Any specific warranties will be detailed in individual service agreements.

Disclaimer

Except as expressly stated in a service agreement, our services are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, FJS Construction LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code that may be transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted or transmitted through our services

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us for the services in question during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless FJS Construction LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services or your violation of these Terms.

Term and Termination

These Terms remain in effect while you use our services. We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Modifications to Services and Terms

We reserve the right to modify or discontinue our services at any time without notice. We may also revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use our services after revisions become effective, you agree to be bound by the revised Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for matters related to intellectual property or confidentiality.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and FJS Construction LLC regarding our services and supersede all prior agreements and understandings, whether written or oral.
